1. Acceptance & binding agreement

These Terms of Service ("Terms") form a legally binding agreement between you ("you", "your", "User") and Abinic, LLC, a Delaware limited liability company ("Abinic", "we", "us", "our", or "MAKETZO"), operator of maketzo.co and its subdomains, mobile and web applications, APIs, and related services (collectively, the "Service").

By creating an account, starting a free trial, completing a purchase, or otherwise accessing or using the Service in any capacity, you represent that you have read, understood, and agree to be bound by these Terms. If you do not agree to any part of these Terms, you must not access or use the Service.

These Terms work together with our Privacy Policy and Risk Disclaimer, each of which is incorporated into these Terms by reference. To the extent of any conflict, the document that more specifically addresses the subject matter controls.

2. Definitions

In addition to the terms defined elsewhere, the following definitions apply throughout:

  • "Account" means the registered user account through which you access the Service.
  • "Affiliate" means any entity that controls, is controlled by, or is under common control with a party.
  • "Content" means any data, text, journal entries, configurations, notes, images, audio, or other material submitted to, created in, or stored by the Service.
  • "Subscription" means a paid plan that grants access to the Service on a recurring basis.
  • "Subscription Tier" means Journal, Pro, Elite, or any other paid plan we offer.
  • "Trial" means a time-limited period of access offered at no charge prior to the first paid billing cycle.
  • "User Content" means Content created or submitted by you or attributable to your Account.
  • "Maketzo Materials" means software, source code, designs, content, trademarks, signals, scores, prompts, analytics, models, and any other materials that comprise or are produced by the Service, excluding User Content.

3. Eligibility

To use the Service, you represent and warrant that:

  • You are at least 18 years of age and have full legal capacity to enter into a binding contract in your jurisdiction.
  • You are not barred from using the Service under the laws of the United States, the laws of your country of residence, or the laws of any jurisdiction in which you reside or trade.
  • You are not located in, or a national of, a country subject to a comprehensive U.S. sanctions program (currently including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine), and you are not on any list of restricted or denied persons maintained by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC) or any other applicable authority.
  • If you are using the Service on behalf of an entity, you have authority to bind that entity, and references to "you" in these Terms apply to both you and that entity jointly and severally.

We may refuse service, terminate accounts, or cancel orders at our sole discretion, including but not limited to where we believe these eligibility requirements have not been met.

4. Account creation, security & accuracy

  • Accurate information. You must provide accurate, current, and complete information when creating an Account and update that information as it changes.
  • Credential security. You are responsible for safeguarding your password, session tokens, and any other credentials, and for all activity that occurs through your Account, whether or not authorized.
  • Unauthorized access. Notify us immediately at info@maketzo.co if you suspect any unauthorized access to or use of your Account.
  • One Account per person. You may maintain only one Account. Creating multiple Accounts to circumvent trials, rate limits, bans, or pricing is prohibited.
  • No account sharing. Accounts are personal and non-transferable. Sharing credentials, allowing others to use your Account, or using another person's Account is prohibited.
  • Login methods. We support email-and-password and Google OAuth sign-in. Other methods may be added in the future. All methods must be used by the named Account holder.

5. License to use MAKETZO

Subject to your continuous compliance with these Terms and payment of all applicable fees, Abinic grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own internal, non-commercial trading-discipline purposes only, during the period of your active Subscription or Trial.

No other rights are granted, expressly or by implication. All rights not expressly granted are reserved by Abinic and its licensors.

6. What MAKETZO is and is not

MAKETZO is a behavioral accountability, journaling, and educational platform for retail day traders. We provide tools — including the state machine, COACH SAYS, the strike system, the Picard Score, the Insights engine, Edge and Pulse signals, and the Focus Room — designed to help you adhere to rules you set for yourself.

MAKETZO is not a broker-dealer, investment adviser, financial planner, commodity trading advisor, fiduciary, custodian, or money manager. We do not execute trades, route orders, custody funds, or recommend specific securities, sectors, strategies, or position sizes. All signals, scores, prompts, and outputs are general informational and educational content, not personalized investment, legal, or tax advice. See the full Risk Disclaimer.

7. Subscription tiers & pricing

MAKETZO is offered as a paid subscription with multiple Tiers (currently Journal, Pro, and Elite) at monthly or annual billing intervals. Current pricing, feature inclusions, and Tier-specific limits are published on our pricing page, which is incorporated by reference.

We may add, remove, rename, reprice, or restructure Tiers, features, and limits at any time. Material changes that affect your active Subscription will be communicated to the email associated with your Account and will not take effect with respect to your current paid billing period until that period ends.

Promotional pricing, coupons, and discounts are subject to their own stated terms and may be revoked at our discretion for fraud, abuse, or violation of these Terms.

8. Billing & payment processing

  • Payment processor. All payments are processed by Stripe, Inc. Card numbers, CVCs, and bank details are entered into and stored by Stripe, not by us. Your use of Stripe is also subject to Stripe's terms and privacy policy.
  • Card on file required. All paid Subscriptions and all Trials that convert to paid require a valid payment method on file.
  • Authorization for recurring charges. By starting a Subscription or Trial that converts to paid, you authorize Abinic, through Stripe, to charge your payment method on a recurring basis for the applicable Subscription fee, plus any applicable taxes, at the start of each billing period until your Subscription is canceled or terminated.
  • Currency. Subscription fees are stated and billed in U.S. dollars unless otherwise indicated. Your bank or card issuer may apply currency conversion fees that are outside our control.
  • Receipts. Stripe will issue receipts to the email on your Account. Invoices are also available from your Account billing portal.
  • Chargebacks. If you initiate a chargeback with your card issuer for a charge you authorized, we may suspend or terminate your Account and pursue collection of the disputed amount plus reasonable costs.

9. Taxes

Subscription fees do not include any taxes, levies, duties, or similar governmental assessments of any nature, including but not limited to value-added, sales, use, or withholding taxes assessable by any jurisdiction (collectively, "Taxes"). You are responsible for paying all Taxes associated with your purchase of the Service, except for taxes based on our net income. Where required, we (through Stripe) may collect and remit Taxes on your behalf. If we are required to collect Taxes, those Taxes will appear on your invoice.

10. Free trial mechanics

We may offer a free Trial period of seven (7) days (or such other period as we specify at signup) on certain Subscriptions. Trial mechanics:

  • Card required at signup. A valid payment method on file is required to start the Trial.
  • No charge until conversion. Your card is not charged for the Subscription fee during the Trial period. The first charge occurs at the end of the Trial unless you cancel before then.
  • Reminder email. We endeavor to send a reminder email before the Trial ends; we do not guarantee delivery or receipt of any such reminder, and the absence of a reminder does not extend the Trial or excuse the charge.
  • Cancel anytime during the Trial. If you cancel before the end of the Trial period, no Subscription fee is charged. Cancellation can be completed from your account billing settings.
  • One Trial per person. Trials are limited to one per person and one per household. Creating multiple Accounts, using different payment methods, or otherwise attempting to obtain additional Trials is prohibited and may result in termination.
  • Trial features. Trial access may include all or only some features of the converting Subscription Tier, at our discretion.

11. Cancellation & refunds

You may cancel your Subscription at any time from your Account billing settings or by contacting info@maketzo.co. Cancellation takes effect at the end of the current billing period; you retain access through that date.

Refund policy. Except as expressly stated in these Terms or as required by applicable law, all Subscription fees are non-refundable. We may, at our sole discretion, offer a prorated or full refund on a case-by-case basis. Without limiting the foregoing:

  • If you cancel within seven (7) days of your first paid charge and submit a written request to info@maketzo.co, we will refund that initial charge in full.
  • Refunds, where granted, are processed back to the original payment method.
  • Refund eligibility for renewal charges (charges after your first paid period) is determined at our discretion and is generally not granted.
  • Partial-month or partial-year refunds are not provided where the User has retained access for any portion of the period.

12. Upgrades, downgrades & prorations

Upgrades (e.g., Journal to Pro, monthly to annual) take effect immediately. We (through Stripe) prorate the difference between the prior Tier and the new Tier based on the time remaining in the current billing period, and apply the credit to the upgrade charge.

Downgrades take effect at the end of the current billing period. You retain access to your current Tier through the end of the period; no proration credit is issued.

Tier-specific features become available or unavailable at the moment of the change. Data, settings, or features previously available under a higher Tier may become inaccessible after a downgrade but will be preserved on our systems for a reasonable period in case you upgrade again.

13. Failed payment & access suspension

If a Subscription renewal payment fails, Stripe will retry the charge over several days under our dunning configuration. During this period, your access may be downgraded, restricted, or suspended at our discretion. If payment cannot be collected within a reasonable retry window, your Subscription will be canceled and your Account will be downgraded to free or terminated. Access can be restored by updating your payment method and resuming or restarting your Subscription. We have no obligation to provide retroactive access, refund, or credit for periods during which your Account was suspended due to payment failure.

14. Acceptable use

You agree to use the Service only for lawful purposes, in accordance with these Terms, our Risk Disclaimer, and all applicable laws and regulations of your jurisdiction. You are solely responsible for the legality of your trading activity, your tax compliance, your sanctions compliance, and your adherence to broker, exchange, and regulator rules.

15. Prohibited conduct

You agree not to, and not to attempt to, do any of the following:

  • Resell, sublicense, rent, lease, transfer, or assign your Subscription, your Account, or any portion of the Service to any third party.
  • Resell, redistribute, mirror, syndicate, or share access to Maketzo Edge, Maketzo Pulse, COACH SAYS, the Picard Score, the Insights engine, or any other proprietary signal, score, or output.
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms, models, or trade secrets of any part of the Service, except where such restriction is prohibited by applicable law.
  • Scrape, crawl, automate, or access the Service or its APIs through automated means or unauthorized clients, including bots, scripts, headless browsers, or third-party aggregators, without our prior written permission.
  • Circumvent, disable, or otherwise interfere with security-related features of the Service, rate limits, watermarking, or features that prevent or restrict use or copying.
  • Attempt to access, probe, or use any account, computer system, or network without authorization, including any other User's Account or data.
  • Use the Service to facilitate, plan, or carry out market manipulation, insider trading, front-running, pump-and-dump schemes, wash trading, spoofing, layering, or any other unlawful or manipulative trading practice.
  • Upload, transmit, or distribute viruses, worms, trojans, keyloggers, ransomware, or any other malicious code through the Service.
  • Use the Service in a manner that imposes an unreasonable load on our infrastructure, interferes with normal operation, or disrupts other Users' access.
  • Use the Service to send unsolicited marketing communications, spam, or chain messages to other Users or to the public.
  • Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Use the Service to generate, store, or distribute illegal content, hate speech, content sexualizing minors, content promoting violence or self-harm, or content that infringes the rights of others.
  • Remove, obscure, or alter any proprietary notice, label, mark, or watermark on the Service or any output of the Service.

16. Community conduct & user-generated content

The Service may include or be expanded to include forums, comment threads, feature-voting boards, accountability circles, off-platform community channels (e.g., Discord), or other surfaces where Users post, share, or vote on Content. In addition to the Acceptable Use and Prohibited Conduct rules above, the following apply to community surfaces:

  • Be respectful. No harassment, hate speech, threats, doxxing, or personal attacks.
  • No promotion of pump-and-dump schemes, "alpha leaks", front-running, or anything resembling market manipulation.
  • No solicitation, spam, off-topic self-promotion, or recruitment for off-platform paid signal groups, trade-copying services, or competing products.
  • No sharing of malware, phishing links, or credentials.
  • No legal, tax, or investment advice posing as community guidance. Educational discussion is welcome; personalized recommendations are not.
  • Content that violates our community guidelines may be removed at any time. Users who repeatedly violate may be muted, suspended, or banned without notice.

17. Your content & data

Ownership. You retain all right, title, and interest in and to your User Content. We do not claim ownership of your trading data, journal entries, notes, or any other Content you create within the Service.

License to operate the Service. You grant Abinic a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, transmit, display, and create derivative works of your User Content solely to the extent necessary to (a) operate, provide, and improve the Service for you and other Users; (b) generate Account-specific insights, signals, and coaching for you; (c) comply with legal obligations; and (d) enforce these Terms. This license is limited to the purposes of providing the Service and survives only as long as required for those purposes.

Aggregated and de-identified data. We may compile, aggregate, and de-identify User Content and usage data to produce statistical, benchmarking, and product-improvement insights that do not identify you or any individual User. Aggregated, de-identified data is not subject to the limits in this section and may be used and disclosed by us in our discretion.

Export and deletion. You may export your User Content from your Account billing settings at any time. You may delete your Account from the Account settings; deletion is processed in accordance with our Privacy Policy and applicable legal retention obligations.

Responsibility. You represent and warrant that your User Content does not infringe the intellectual property, privacy, publicity, or other rights of any third party, and that you have all necessary rights to grant the license set forth above.

Copyright complaints (DMCA). We respect the intellectual-property rights of others and expect Users to do the same. If you believe that material posted to the Service infringes your copyright, send a written notice that complies with 17 U.S.C. § 512(c)(3) to our designated agent at info@maketzo.co with subject line "DMCA Notice". The notice must include: (a) a physical or electronic signature of the copyright owner or an authorized agent; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material claimed to be infringing and information sufficient to locate it; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act. Misrepresentations may subject you to liability under 17 U.S.C. § 512(f). We may, in appropriate circumstances and at our discretion, terminate the Accounts of repeat infringers. A counter-notice procedure is available to Users whose content has been removed; contact us at the same address for instructions.

18. Third-party services, brokers & integrations

The Service relies on third-party services (including, without limitation, payment processing by Stripe, email delivery by Resend, authentication by Google, AI model providers, market-data and news vendors, OneNote / Microsoft Graph integrations, and hosting infrastructure). Your use of features that depend on third-party services may be subject to those providers' terms and privacy policies. We are not responsible for the acts, omissions, accuracy, availability, security, or content of third-party services, and the failure, delay, or change of any third-party service is not a breach of these Terms by us.

If you connect a third-party account (e.g., Google for OAuth, Microsoft for OneNote), you authorize us to access and use that account on your behalf within the scope of the integration. You may revoke that authorization at any time from the connected account or from the relevant settings on either platform.

Brokers, exchanges, and data sources. We do not endorse, partner with, or warrant compatibility with any particular broker, exchange, data provider, or trading platform. Functionality that depends on importing data from, or interoperating with, a third-party broker, exchange, or data source may stop working at any time due to changes by that third party. You are responsible for verifying the accuracy and completeness of any imported or displayed data against your authoritative broker or exchange statement before relying on it.

19. Beta features & previews

From time to time we may make alpha, beta, preview, experimental, or "Coming Soon" features available to some or all Users ("Beta Features"). Beta Features are provided "AS IS" with no representation or warranty of any kind and may be modified, removed, or made paid at any time, with or without notice. Use of Beta Features is at your sole risk. The disclaimer and limitation-of-liability sections of these Terms apply with full force to Beta Features.

20. Intellectual property

Maketzo Edge, Maketzo Pulse, COACH SAYS, the state machine, the strike system, the Picard Score, the Insights engine, the Training Engine, the Focus Room, and all related logic, code, models, prompts, scoring formulas, design systems, brand assets, user interface, and documentation are the proprietary intellectual property of Abinic, LLC and its licensors, protected by U.S. and international copyright, trademark, trade-secret, patent, and other intellectual property laws.

"MAKETZO", the MAKETZO wordmark, the gold rule device, the M-mark, and other product names, logos, and slogans used in the Service are trademarks or registered trademarks of Abinic, LLC or its licensors. You may not use any Abinic trademark, logo, or brand asset without our prior written consent, except as expressly permitted by these Terms.

The license granted in section 5 does not transfer title or ownership of any Maketzo Materials. All rights not expressly granted are reserved.

21. Feedback license

If you provide us with suggestions, ideas, feature requests, bug reports, recommendations, or other feedback regarding the Service ("Feedback"), you hereby grant Abinic a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, modify, distribute, and incorporate the Feedback into the Service or any other product or service, for any purpose, without compensation, attribution, or obligation to you.

22. Service availability & changes

We aim to provide a reliable Service but do not commit to any specific service-level objective, uptime, or availability. The Service may be unavailable from time to time for scheduled maintenance, unscheduled outages, vendor failures, infrastructure failures, or other causes. We may modify, suspend, or discontinue any feature or part of the Service at any time, with or without notice. We will use reasonable efforts to notify active Subscribers in advance of material discontinuations that affect their Subscription Tier.

23. Suspension & termination by us

We may suspend, restrict, or terminate your access to all or part of the Service immediately, in our sole discretion, with or without notice, if we reasonably believe that:

  • You have violated these Terms, the Risk Disclaimer, or any applicable law;
  • Your use of the Service exposes us, other Users, or third parties to security, fraud, regulatory, or reputational risk;
  • Continued provision of the Service would violate sanctions, court orders, or other legal obligations;
  • Your Account has been inactive for an extended period;
  • Your payment method has failed and dunning attempts have been exhausted; or
  • We are required to do so by a regulator, court, or law enforcement.

Where reasonably possible and consistent with legal obligations, we will give notice of suspension or termination and a reasonable opportunity to cure. We are not liable to you or any third party for any suspension or termination undertaken in good-faith compliance with these Terms.

Right to investigate. We may, but are not obligated to, investigate any suspected violation of these Terms, fraud, abuse, security incident, or unlawful activity in connection with the Service. You agree to cooperate reasonably with any such investigation. We may report suspected unlawful activity to, and disclose information about you and your use of the Service to, law enforcement or regulators where we believe in good faith that disclosure is required by law or necessary to protect the rights, property, or safety of Abinic, our Users, or the public.

24. Effect of termination

On termination of these Terms or your Account, for any reason:

  • Your right to access and use the Service ends immediately;
  • You remain responsible for all amounts accrued before termination;
  • We may retain or delete your User Content in accordance with our Privacy Policy and applicable legal retention obligations; we do not warrant continued availability of User Content after termination;
  • You may export User Content prior to termination, where practicable; and
  • The following sections survive termination: definitions; eligibility representations; payment obligations accrued before termination; intellectual property; feedback license; disclaimers and warranties; limitation of liability; indemnification; mandatory arbitration; class-action and jury waivers; governing law and venue; notices; general provisions.

25. Disclaimers & warranties

The Service, Maketzo Materials, and all signals, scores, prompts, analytics, AI outputs, educational content, and other materials made available through the Service are provided "AS IS" and "AS AVAILABLE", with all faults, and without warranty of any kind, whether express, implied, statutory, or otherwise, to the maximum extent permitted by applicable law.

Without limiting the foregoing, Abinic and its Affiliates, licensors, and suppliers expressly disclaim all warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, timeliness, freedom from defects or interruption, and quiet enjoyment, and any warranties arising from course of dealing, course of performance, or usage of trade. We do not warrant that the Service will meet your requirements, that the Service will be uninterrupted or error-free, that any defect will be corrected, that the Service is free of viruses or other harmful components, or that any signal, score, or output will produce any particular outcome, including profitability.

AI-generated content. Some features of the Service use artificial-intelligence models (including third-party large language models and proprietary rule-based engines) to generate coaching prompts, insights, written analysis, summaries, and other outputs. AI-generated content may be inaccurate, incomplete, biased, outdated, or otherwise unreliable, and may state facts, prices, statistics, or analysis that are not true. Do not rely on AI-generated content as the sole basis for any trading, financial, legal, tax, or other decision. Verify all AI-generated content independently before acting on it.

Information security. No system or network is perfectly secure. While we use commercially reasonable measures to protect your Account and User Content, we cannot guarantee that the Service or any data transmitted to or from it will be free from unauthorized access, interception, or alteration. You assume the risk inherent in transmitting data over the internet and storing it in third-party hosted systems.

Trading involves substantial risk of loss. Nothing in the Service constitutes investment, legal, tax, or accounting advice. See the full Risk Disclaimer.

26. Limitation of liability

To the maximum extent permitted by law, in no event shall Abinic, its Affiliates, or any of their respective officers, directors, employees, contractors, agents, licensors, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including but not limited to lost profits, lost capital, lost trades, lost data, lost opportunity, lost goodwill, or substitute goods or services — arising out of or in connection with these Terms or your use of, or inability to use, the Service, whether based on warranty, contract, tort (including negligence), strict liability, statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our aggregate liability to you for any and all claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the total amount you paid us in the twelve (12) months preceding the event giving rise to the liability, or (b) one hundred U.S. dollars ($100). Multiple claims do not enlarge this limit.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

27. Indemnification

You agree to defend, indemnify, and hold harmless Abinic, its Affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising out of or related to: (a) your access to, use of, or reliance on the Service or any Maketzo Materials; (b) your trading activity, decisions, or outcomes; (c) your User Content; (d) your violation of these Terms, the Risk Disclaimer, the Privacy Policy, or any applicable law; or (e) your violation of any third-party right, including any intellectual-property or privacy right.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with our defense.

28. Mandatory arbitration

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO RESOLVE DISPUTES WITH US THROUGH BINDING INDIVIDUAL ARBITRATION INSTEAD OF IN COURT AND LIMITS THE WAY YOU CAN SEEK RELIEF.

Any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Service, or your relationship with us (including the validity, scope, or enforceability of this arbitration provision) (each, a "Dispute") will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, and judgment on the award may be entered in any court of competent jurisdiction.

The arbitration will be conducted in the State of Delaware, in the English language, before a single neutral arbitrator. Either party may appear remotely. The arbitrator may award any relief that a court of competent jurisdiction could award, except as limited by these Terms.

Exceptions. Either party may bring an individual action in small-claims court for Disputes within the jurisdiction of that court. Either party may also seek injunctive or other equitable relief in court to prevent actual or threatened infringement, misappropriation, or violation of intellectual-property or confidentiality rights.

Pre-dispute notice. Before initiating arbitration, the party with the Dispute will send the other party a written notice describing the nature of the Dispute and the relief sought. The parties will attempt in good faith to resolve the Dispute informally for at least sixty (60) days after delivery of such notice before either party may commence arbitration.

29. Class-action & jury waiver

YOU AND ABINIC AGREE TO BRING DISPUTES AGAINST EACH OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED PROCEEDING. The arbitrator may not consolidate the claims of multiple parties and may not preside over any form of class proceeding. If a court determines that this class-action waiver is unenforceable with respect to any Dispute, that Dispute will be severed from arbitration and brought in court, while all other Disputes will proceed in arbitration.

YOU AND ABINIC WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO BRING ANY DISPUTE IN COURT BEFORE A JUDGE OR JURY.

30. Governing law, jurisdiction & venue

These Terms, and any Dispute arising out of or related to them or to the Service, are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Subject to the mandatory-arbitration and class-waiver sections above, the exclusive venue for any action that may proceed in court (including small-claims actions and actions for injunctive relief) is the state and federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of those courts.

31. Notices & electronic communications

By creating an Account, you consent to receive communications from us electronically, including by email to the address on your Account, by in-product notice, or by posting on the Service. Such electronic communications satisfy any legal requirement that communications be made in writing.

Notices to us must be sent to info@maketzo.co with a copy to: Abinic, LLC, c/o legal notices, at the address listed on our contact page or as we otherwise designate in writing. Notices are deemed received when delivered.

32. Force majeure

Neither party will be liable for any failure or delay in performance under these Terms (other than payment obligations) caused by events outside that party's reasonable control, including but not limited to acts of God, fire, flood, earthquake, war, terrorism, civil unrest, governmental action, embargo, sanctions, pandemic, public-health emergency, labor action, internet or telecommunications outage, denial-of-service attack, or failure of a third-party service provider.

33. Assignment

You may not assign, delegate, or transfer these Terms or any of your rights or obligations under them, in whole or in part, by operation of law or otherwise, without our prior written consent. Any attempted assignment in violation of this section is void. We may assign these Terms or any of our rights or obligations under them, in whole or in part, without your consent, including in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law. These Terms inure to the benefit of and bind the parties' permitted successors and assigns.

34. General provisions

  • Entire agreement. These Terms, together with the Privacy Policy and the Risk Disclaimer, constitute the entire agreement between you and Abinic regarding the Service and supersede any prior or contemporaneous understandings or agreements.
  • Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions will continue in full force and effect.
  • No waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. No waiver is effective unless made in writing and signed by an authorized representative of Abinic.
  • Headings. Section headings are for convenience only and do not affect interpretation.
  • Independent contractors. The parties are independent contractors. No agency, partnership, joint venture, employment, or franchise relationship is created by these Terms.
  • No third-party beneficiaries. Except as expressly stated, these Terms do not confer any rights or remedies on any person other than the parties.
  • Interpretation. "Including" and "include" are without limitation. The singular includes the plural and vice versa.
  • Export control. You agree to comply with all applicable export-control and sanctions laws, including U.S. Export Administration Regulations and OFAC sanctions.
  • U.S. government end users. The Service is "commercial computer software" within the meaning of FAR 12.212 and DFARS 227.7202. Government use is subject to these Terms.

35. Modifications to these terms

We may modify these Terms at any time, in our sole discretion, by posting a revised version at maketzo.co/terms and updating the "Last updated" date at the top of the page. Material changes will be communicated through reasonable means, which may include an in-product notice or an email to the address associated with your Account, at least thirty (30) days before the revised Terms take effect with respect to your existing Subscription. Non-material changes are effective immediately on posting.

Your continued use of the Service following the effective date of revised Terms constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, your sole remedy is to cancel your Subscription and discontinue use of the Service prior to the effective date.
